These General Terms and Conditions apply to all quotations issued by Spread the Love B.V., established in Curaçao, unless explicitly agreed otherwise in writing.
1. Applicability
1.1 These terms apply to all quotations, agreements and services provided by Spread the Love B.V.
1.2 Any deviations from these terms are only valid if agreed in writing.
2. Quotations
2.1 All quotations are non-binding and valid for 30 days from the date of issue, unless stated otherwise.
2.2 A quotation becomes binding once accepted in writing (including email confirmation).
3. Scope of Work
3.1 The quotation describes the agreed scope of work.
3.2 Any additional work outside the agreed scope will be charged separately after mutual agreement.
4. Fees and Payment
4.1 All prices are exclusive of applicable taxes, unless stated otherwise.
4.2 Invoices are payable within 15 days of the invoice date.
4.3 Spread the Love B.V. is entitled to request an advance payment of 50% of the agreed fee, unless otherwise agreed in writing.
4.4 Payment may be made in XCG, EUR, or USD, as specified on the invoice.
4.5 If payment is not received within the payment term, the client is legally in default without further notice. In such case, statutory interest and reasonable collection costs may be charged.
5. Cancellation
5.1 The client may cancel an accepted quotation within 14 days of acceptance, provided no work has commenced.
5.2 If work has already started, Spread the Love B.V. is entitled to invoice the work performed up to the cancellation date, including any costs already incurred.
6. Revisions
6.1 Quotations include a limited number of revision rounds, as specified in the quotation.
6.2 Additional revisions will be charged separately.
7. Intellectual Property
7.1 All intellectual property rights, including but not limited to texts, concepts, methodologies, formats, and creative works, remain the exclusive property of Spread the Love B.V., unless explicitly agreed otherwise in writing.
7.2 Upon full payment, the client receives a non-exclusive, non-transferable license to use the delivered work for the agreed purpose.
7.3 Personal branding elements, reputation-related materials, and creative expressions remain under the control of Spread the Love B.V.
8. Liability
8.1 Spread the Love B.V. shall perform its services with due care and professionalism.
8.2 Any liability is limited to the amount invoiced for the relevant assignment, unless damage is caused by intent or gross negligence.
9. Governing Law and Jurisdiction
9.1 All legal relationships are governed by Curaçao law.
9.2 Any disputes shall be submitted exclusively to the competent court in Curaçao.
