These Terms and Conditions apply to all invoices issued by Spread the Love B.V., established in Curaçao.
1. Payment Terms
1.1 Invoices are payable within 15 days of the invoice date, unless otherwise agreed in writing.
1.2 Payment must be made in the currency stated on the invoice (XCG, EUR, or USD).
1.3 Any objections to an invoice must be submitted in writing within 7 days of the invoice date. After this period, the invoice is deemed accepted.
2. Late Payment
2.1 If payment is not received within the agreed term, the client is legally in default without further notice.
2.2 From the due date, statutory interest under Curaçao law may be charged.
2.3 All reasonable costs incurred to collect outstanding amounts, including legal and collection agency costs, may be recovered from the client.
3. Suspension of Services
3.1 Spread the Love B.V. reserves the right to suspend ongoing or future services if invoices remain unpaid.
3.2 Suspension does not release the client from payment obligations.
4. Intellectual Property
4.1 All intellectual property rights relating to delivered work remain with Spread the Love B.V. until full payment of the invoice has been received.
4.2 Upon full payment, the client receives a non-exclusive, non-transferable license to use the work solely for the agreed purpose.
5. Liability
5.1 Any liability of Spread the Love B.V. is limited to the amount invoiced for the relevant services, unless damage results from intent or gross negligence.
6. Governing Law and Jurisdiction
6.1 All legal relationships arising from invoices are governed by Curaçao law.
6.2 Any disputes shall be submitted exclusively to the competent court in Curaçao.
